Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software, websites, and desktop applications provided by UniOps ("UniOps", "we", "us", or "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
UniOps is a multi-tenant workspace that lets organizations share access to internal tools and SaaS subscriptions without sharing passwords. The Service includes the web dashboard at uniops.app, the UniOps desktop application, the lease and proxy infrastructure that backs them, and any associated documentation.
2. Accounts & eligibility
- You must be at least 18 years old to create an account.
- You must provide accurate registration information and keep it current.
- You are responsible for keeping your password and 2FA factors confidential and for all activity under your account.
- One human per account. Do not share accounts with other people or with automated systems beyond the integration features UniOps documents.
3. Workspaces & roles
UniOps organizes users into workspaces (also called organizations). Each workspace has one or more owners; owners can add members, assign roles, transfer ownership, and delete the workspace. Workspace data, including audit logs, tools metadata, and member presence, is shared among members of that workspace and is invisible to members of other workspaces.
4. Acceptable use
You agree not to use the Service to:
- Break any law or any third party's rights.
- Access services you are not authorized to access, or store credentials you do not have authority to store.
- Reverse-engineer, decompile, or attempt to extract source code from any UniOps binary, except as expressly permitted by applicable open-source license terms.
- Resell, sublicense, or expose the Service as a paid product without a written agreement with UniOps.
- Use the Service to send spam, run denial-of-service tools, mine cryptocurrency, scrape at high volume, or generate content that violates the policies of any tool integrated with UniOps.
- Circumvent rate limits, billing gates, or workspace boundaries.
- Interfere with the security, availability, or integrity of the Service or any other user's use of it.
5. Your content
"Your Content" means the credentials, cookies, tool metadata, custom prompts, audit log entries, and other data that you or your workspace upload to or generate through the Service. You retain all ownership of Your Content. You grant UniOps a worldwide, royalty-free license to host, store, transmit, display, encrypt, decrypt, and process Your Content solely to operate and improve the Service for you and your workspace, and to comply with law.
You represent that you have the rights to grant this license and that Your Content does not violate any law or third-party agreement.
6. Plans, fees, and trials
Some features of the Service require a paid plan. Fees, billing intervals, and seat limits are described at uniops.app/#pricing. Unless stated otherwise:
- Subscription fees are billed in advance, are non-refundable, and renew automatically until canceled.
- You can cancel at any time from your billing portal; access continues through the end of the paid period.
- We may change plan pricing on prospective renewals with at least 30 days' notice.
- Free trials, if offered, convert to paid plans at the price disclosed at signup unless you cancel before the trial ends.
- Taxes are your responsibility unless we're legally required to collect them.
Payments are processed by our payment partner, currently Whop. Payment Card Industry compliance is maintained by the payment processor, not UniOps directly. See Privacy for what information we receive from the processor.
7. Beta features
Features labeled "beta", "preview", or similar are provided as-is, may change or be discontinued without notice, and are excluded from any service-level commitments. Do not rely on beta features for production-critical workflows.
8. Third-party tools
UniOps integrates with third-party SaaS tools and services that you connect to your workspace. Your use of those tools is governed by the third party's own terms. UniOps is not responsible for the availability, accuracy, security, or behavior of any third-party service.
9. Intellectual property
UniOps and our licensors own all rights, title, and interest in and to the Service, including all software, brand names, logos, and visual design. Except for the limited right to use the Service per these Terms, no rights are granted to you.
10. Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it uses for its own confidential information, and never less than reasonable care. Confidential information includes pricing, security architecture, and any non-public information shared in connection with the Service. The receiving party may disclose confidential information only as required by law, with prior notice where lawful.
11. Suspension & termination
We may suspend or terminate your access immediately if you breach these Terms, if your use creates a risk to the Service or to other users, or if we are required to do so by law. We will give reasonable notice unless doing so would create that risk. You may stop using the Service at any time. On termination, your access stops and the data retention rules in our Privacy Policy apply.
12. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIOPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIOPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE. UNIOPS' TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID UNIOPS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU HAVE NOT PAID UNIOPS ANYTHING.
14. Indemnification
You will defend, indemnify, and hold harmless UniOps from any claim by a third party arising out of (a) your breach of these Terms, (b) Your Content, or (c) your violation of any law or third-party right.
15. Governing law & venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state or federal courts located in New Castle County, Delaware, and each party consents to personal jurisdiction there. Nothing in this section limits a consumer's right to bring a claim in the courts of their country of residence where applicable law makes that right non-waivable.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we'll change the version stamp at the top of this page and, for material changes, notify you by email or in-product banner at least 14 days before the change takes effect. Continued use of the Service after the effective date is acceptance of the new Terms.
